Labguru Terms of Service Agreement

This Terms of Service Agreement (“Agreement”) governs your free trial of the Service. If you purchase our service, this agreement will also govern your purchase and ongoing use of the Service. BY USING THE BIOKMAPP.COM, LABGURU, OR LABLIFE WEBSITES (THE “WEBSITES”), OR ANY SERVICES (“SERVICE”) OF BIODATA INC. AND/OR BIODATA LTD. (“BIODATA” or “LICENSOR”) AND/OR BY ACCEPTING THIS AGREEMENT, EITHER BY CLICKING A BOX INDICATING YOUR ACCEPTANCE OR BY EXECUTING AN ORDER FORM THAT REFERENCES THIS AGREEMENT, YOU AGREE TO THE TERMS OF THIS AGREEMENT. IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY, ITS AFFILIATES AND USERS TO THESE TERMS AND CONDITIONS, IN WHICH CASE THE TERMS "YOU" OR "YOUR" SHALL REFER TO SUCH ENTITY, ITS AFFILIATES AND ANY OF ITS USERS OR ANY PERSON ON THEIR BEHALF. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS, YOU MUST NOT ACCEPT THIS AGREEMENT AND MAY NOT USE THE SERVICE.

This Agreement is effective between You and Us as of the date of You accept this Agreement.

This Agreement constitutes a legal and binding contract between You, (hereinafter, the "Licensee") and BioData regarding the Service.

You agree to be bound by the terms of this Agreement as may be amended by BioData from time to time at its sole discretion and without notice, including changes to any and all documents, forms and policies incorporated thereto. If You do not agree with any of the amended terms, then You must avoid any further use of the Service.

Your use of the Service is subject to BioData’s Privacy Policy as detailed at the following URL: http://www.labguru.com/company/legal/privacy.

1. Definitions

“Your Account” means an account registered by You for the Service. A legal entity (such as a lab or academic institute) which needs more than one user may therefore register more than one Account as your plan allows, provided that each user shall only have one Account and will be bound by this Agreement.

“Service” means the BIOKMAPP.COM and/or LABGURU and/or LABLIFE Websites, including the online research and laboratory management service provided by and/or via any of the Websites, and/or any services of BioData.

“Content” means any content appearing on the Service posted by BioData or on its behalf, and/or any content to which you may be exposed due to your use of the Service including, without limitation, any and all advertisements and/or other commercial content to which you may be exposed.

"Your Data" means all electronic data or information submitted by You to the Service.

“Single User ID Sign Up” means the set of username and password, required for You to log into Your Account and be able to use the Services and/or each of the Macmillan Sites & Services (as defined below).

"Malicious Code" means viruses, worms, time bombs, Trojan horses and other harmful or malicious code, files, scripts, agents or programs of a destructive nature.

“Trial and/or Free Version” means a version of the Service which is offered for evaluation, demonstration and review purposes only.

2. Trial and/or Free Version

The following terms apply the Trial and/or Free Version only:
(i) A Trial and/or Free Version is offered free of charge and is identified as such;
(ii) A Trial and/or Free Version may have limited functionality and reduced or altered features;
(iii) Licensor may define a predetermined amount of time for the operation of Trial and/or Free Version which will be notified upon subscription to the Trial and/or Free Version;
(iv) The proper functionality of Trial and/or Free Version may be interrupted for evaluation, review and maintenance purposes;
(v) Licensor may terminate the license of a Trial and/or Free Version at any time; introduce new features or functionality from the Trial and/or Free Version or remove existing features or functionality thereof, and define and deploy certain grades and priorities schemes;

3. Your Account Terms

3.1 You may not access the Service through automated methods. Use of robots or other computer code which calls the Service, except where explicitly allowed, is absolutely forbidden.
3.2 You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process.
3.3 Your login may only be used by one person – a single login shared by multiple people is not permitted. You may create separate logins for as many people as your plan allows.
3.4 You are responsible for maintaining the security of your account and password. BioData cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
3.5 You are responsible for all of Your Data posted and activity that occurs under Your Account (even when Your Data is posted by others who have accounts under Your Account).
3.6 One person or legal entity may not maintain more than one free account.
3.7 You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any applicable laws (including but not limited to copyright laws).

4. Single User ID Signup

4.1 BioData is part of Digital Science Ltd. (“Digital Science”), a division of Macmillan Publishers Limited (“Macmillan”), a company registered in England under company number 00785998 with a registered office at Brunel Road, Houndmills, Basingstoke, Hampshire, RG21 6XS, United Kingdom. Macmillan also owns Nature publishing Group which operates various websites. Digital Science holds several companies which offer various services for scientists (together “Macmillan Sites & Services”).
4.2 Once you register with one of the Macmillan Sites & Services, you may be able to use the same username and password to log into all Macmillan Sites & Services, provided however, that the applicable terms of service agreement, terms of use and privacy policy shall govern each such Macmillan Sites & Services as posted in each such site and/or service.

5. Payment, Upgrading and Downgrading Terms

5.1 A valid credit card is required for paying accounts. Free accounts are not required to provide a credit card number.
5.2 The Service is billed in advance, according to the subscription plan you subscribed for (monthly, yearly etc.).
5.3 In case You are a legal entity or applying on behalf of a legal entity, and the number of users on behalf of such entity needs to be changed in the middle of Your subscription period, and you would like to add or remove users, your charge will then be adjusted according to the applicable subscription plan.
5.4 All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, duties, such as use, sale or value-added taxes and similar taxes and duties imposed by any governing authority in any jurisdiction in connection with Your use of the Service.
5.5 This Agreement shall be renewable at the end of the current term for a successive term unless either party gives written notice of its intention not to renew ten (10) days before expiration of the current term, subject to the terms of This Agreement.
5.6 For any upgrade in plan level, your credit card that you provided will automatically be charged for the additional users from the day of upgrade until end of your payment cycle with the same rate (e.g. yearly plan user for 6 months would be charged 50% of the annual price).
5.7 For downgrading your service, please contact support@biodata.com.
5.8 Downgrading your Service may cause the loss of Content, features, or capacity of Your Account. BioData does not accept any liability for such loss. You will be solely responsible for backing up Your Data prior to downgrading your Service.

6. Cancellation and Termination

6.1 This Terms of Service Agreement is effective upon Your subscription or using or browsing through the Service and remains in effect unless terminated as set forth in this section.
6.2 Either party may terminate this Agreement at any time. You are solely responsible for properly canceling Your Account. An email or phone request to cancel Your Account is not considered cancellation. You can cancel Your Account by clicking on the Account link (your account name) in the global navigation bar at the top of the screen, and then by clicking Settings. The Settings screen provides a simple no questions asked cancellation link.
6.3 Return of Your Data. Upon request by You made within 30 days after canceling Your Account, BioData will make available to You for download a file of Your Data in comma separated value (.csv) format along with attachments in their native format. After such 30-day period, we shall have no obligation to maintain or provide any of Your Data and shall thereafter, unless legally prohibited, be entitled to delete all of Your Data in our systems or otherwise in our possession or under our control or retain such data in our sole discretion subject to the provisions of any applicable law.
6.4 In the event that BioData suspends, terminates or prevents access to Your Account, You must not attempt to re-register or submit content or Your Data (e.g. using someone else's registration), without BioData’s prior permission. The period of any suspension depends on all the circumstances at BioData’s sole discretion.
6.5 Upon termination of this Agreement, for any reason, You agree to cease all use of the Service. Any termination will not affect your obligations to BioData under this Agreement (including, without limitation, payments, ownership, indemnification and limitation of liability) which are intended to survive such suspension or termination. BioData will be entitled to discontinue prospective hosting of Your Data or Submissions.
6.6 Your Account cancellation will be effective immediately. In such event, BioData shall not be required to provide any monetary refunds.

7. Modifications to the Service and Prices

7.1 Modifications - Biodata reserves the right at any time and from time to time to modify, temporarily or permanently, the Service (or any part thereof) with or without notice

  7.2.1 Temporary - BioData reserves the right at any time and from time to time to temporarily discontinue the 7.Service (or any part thereof) with or without a notice.
  7.2.2 Permanent - Biodata reserves the right at any time to permanently discontinue the Service (or any part thereof) with a 30 day prior notice.
7.3 Prices of all Services, including but not limited to monthly subscription plan fees to the Service, are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the BioData Site (www.biodata.com), and/or the Labguru site (www.labguru.com) or the Service itself.
7.4 BioData shall not be liable to You or to any third party for any modification, price change, suspension or discontinuance of the Service.

8. Content Ownership and Your Data Ownership

8.1 Your Data uploaded or otherwise submitted to the Service by You is determined entirely by You and You are solely responsible for Your Data. BioData makes no representation regarding Your Data, including its accuracy, copyright compliance, legality or decency. BioData explicitly disclaims any responsibility for Your Data.
ou will retain all ownership rights in any of Your Data that You transmit to us or post to the Service (each a “Your Submission” or collectively “Your Submissions”), and BioData will not use, reproduce, publish, distribute or display Your Submissions owned by You and stored on our Service for BioData's commercial, marketing or any similar purpose without Your consent.
8.2 If You choose to upload, post, display or otherwise make available (1) Your Submissions to Your group or to individual users of the Service, or (2) Any or certain parts of Your Submissions to Public Comments to community pages or product pages within the Service which are accessible by third parties, You also hereby grant BioData and each user of the Service and/or third parties, who has access to Your group page, the community pages, or the product pages or who received Your Submissions or Public Comments from You, a non-exclusive, royalty-free license to access Your User Submissions and Public Comments through the Service, and to use and display Your Submissions and Public Comments as permitted through the functionality of the Service and under this Agreement. You further hereby waive any and all moral rights and all rights of a similar nature in any jurisdiction in Your Submissions and Public Comments.
8.3 All information, content and/or material posted on the Service by BioData or its authorized partners (“Materials”) are the property of BioData, its third party providers and/or any other user that posts information on the Service on its behalf, which retains all rights, title and interests in and to such Materials and all intellectual property rights relating thereto, including without limitations all copyright, patent, trademarks, logos, design rights and any other proprietary rights.
8.4 Other than specifically indicated herein, no transfer or grant of any rights is made or is to be implied by any provision of this Agreement or by any other provision contained in the Service. You agree not to infringe upon all the above rights.
8.5 Without limiting any of the foregoing, You may not copy, reproduce, republish, upload, post, transmit, scrap or otherwise distribute, the Materials or any part thereof. You may download, where specifically permitted, one copy of the Materials on any single computer for your personal, non-commercial use only, provided you keep intact all copyright and other proprietary notices.
8.6 Modification of the Materials or use of the Materials for any other purpose, including without limitations the use of Materials on any other services, or website or networked computer environment is strictly prohibited, and be deemed a violation of BioData’s copyright and other proprietary (including intellectual property) rights.
8.7 You acknowledge that such information and data may contain other proprietary information and material, and You will respect all such proprietary rights and take such precautions as may be reasonably necessary to protect private, confidential and other proprietary information and material from unauthorized use.

9. Privacy Policy

It is BioData’s policy to respect the privacy of all users. Your use of the Service as well as certain other information about you is subject to the terms and conditions of our Privacy Policy http://www.labguru.com/company/legal/privacy, which is incorporated into this Terms of Service Agreement by this reference. European Union Users understand and consent to the processing of personal information in the United States.

10. Intellectual Property Infringement Policy

10.1 BioData is committed to protecting the rights of copyright right holders and seeks to comply with all applicable laws and regulations regarding the protection of intellectual property. Notices related to intellectual property related violations on this Service should be submitted as outlined in Annex A to this Agreement.
10.2 BioData does not pre-screen Content, but BioData and its designee have the right (but not the obligation) in their sole discretion to refuse or remove any Content that is available via the Service.
10.3 The look and feel of the Service is copyright©2007-2012 BioData. All rights reserved. You may not duplicate, copy, or reuse any portion of the HTML/CSS, JavaScript, or visual design elements or concepts without express written permission from BioData.

11. Trademarks

Without limiting any of the other provisions of this Agreement, BioData’s name, logos, product and Service names and any other trademarks, and/or domain names and/or trade names included in the Service are trademarks, trade names or service marks of BioData (collectively, "Trademarks") or any of its affiliates. You agree not to display or use, in any manner, any of BioData’s Trademarks or copyrighted material without BioData’s prior written consent. All other third party trademarks, service marks, logos and trade names appearing on any services which are part of the Service are the property of their respective owners. No transfer or grant of any rights under any Trademarks is made or is to be implied by any provision of this Agreement or by any other provision contained in the Service, and all rights in such Trademarks is reserved by BioData or respective holders.

12. Prohibited Uses

You expressly agree not to use the Service in a manner that is prohibited by any law or regulation, or to facilitate the violation of any law or regulation. You acknowledge that prohibited conduct includes, but is not limited to, use of the Service to invade the privacy of third parties, transmitting or uploading abusive, profane, libelous, slanderous, threatening or otherwise harassing material via the Service, transmitting or uploading any viruses, worms, ''Trojan Horses'' or other similar materials onto the Service, or reproducing, sending or distributing to or through the Service any Unsolicited Commercial Email (UCE) or SPAM or material protected by copyright, privacy or other proprietary right without first obtaining the written permission of the owner thereof. You expressly agree not to damage, alter or modify the Service or any content thereof. You must not modify, adapt or hack the Service or modify another website so as to falsely imply that it is associated with the Service, BioData, or any other BioData service. You agree not to take any action that might compromise the security of the Service, render the Service inaccessible to others or otherwise cause damage to the Service or its Materials. You agree not to add to, subtract from, or otherwise modify the Materials, or to attempt to access any Materials that are not intended for you. You agree not to use the Service in any manner that might interfere with the rights of third parties. You are prohibited from engaging in any activities designed to harass, or that will cause a denial-of-service (e.g., synchronized number sequence attacks) to any other user whether on Service network or on another provider’s network.

13. Mutual Warranties

Each party represents and warrants that (i) it has the legal power to enter into this agreement, and (ii) it will not transmit to the other party any malicious code (except for malicious code previously transmitted to the warranting party by the other party).

14. BioData’s Warranties

14.1 YOU EXPRESSLY AGREE THAT USE OF THE SERVICE IS AT YOUR OWN RISK. THE MATERIALS AND CONTENT IN THIS WEBSITE ARE PROVIDED "AS IS" AND WITHOUT ANY WARRANTY, REPRESENTATION, CONDITION, UNDERTAKING OR TERM - EXPRESSED OR IMPLIED, STATUTORY OR OTHERWISE - INCLUDING BUT NOT LIMITED TO THE CONDITION, QUALITY, DURABILITY, PERFORMANCE, ACCURACY, RELIABILITY, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE OR USE OF THE SERVICE IS GIVEN OR ASSUMED BY BIODATA. ALL SUCH WARRANTIES, REPRESENTATIONS, CONDITIONS, UNDERTAKINGS AND TERMS ARE HEREBY EXCLUDED.
14.2 TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, BIODATA DOES NOT WARRANT THAT: (I) THE SERVICE AND ANY MATERIALS DISPLAYED IN THE SERVICE WILL MEET YOUR REQUIREMENTS; OR (II) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; OR (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; OR (V) THE SERVER(S) OR ANY INFORMATION OR DATA RECEIVED THROUGH THE SERVICE WILL BE FREE OF INFECTION BY VIRUSES, WORMS, TROJAN HORSES OR ANYTHING ELSE MANIFESTING CONTAMINATING OR DESTRUCTIVE PROPERTIES; OR (VI) THE SERVICE WILL BE AVAILABLE 24-HOURS PER DAY, 7-DAYS PER WEEK; OR (VII) ANY ERRORS IN THE SERVICE WILL BE CORRECTED. IN THE EVENT THAT YOUR ACCESS TO THE SERVICE IS SUSPENDED OR INTERRUPTED, BIODATA WILL MAKE REASONABLE EFFORTS TO RESTORE ACCESS TO THE SERVICE (TO THE EXTENT DETERMINED SOLELY BY BIODATA IN ITS DISCRETION).
14.3 BIODATA DOES NOT WARRANT OR MAKES ANY REPRESENTATIONS AS TO THE SUITABILITY OF THE INFORMATION DELIVERED OR RECEIVED ON OR THROUGH THE SERVICE FOR ANY PURPOSE NOR ABOUT ITS LEGITIMACY, LEGALITY, VALIDITY, ACCURACY, CORRECTNESS, RELIABILITY, QUALITY, STABILITY, COMPLETENESS OR CURRENTNESS. BIODATA DOES NOT WARRANT OR GUARANTEE THAT THE INFORMATION RECEIVED ON OR THROUGH THE SERVICE WILL NOT CONTAIN ADULT-ORIENTED MATERIAL, OR MATERIAL WHICH SOME INDIVIDUALS MAY DEEM OBJECTIONABLE OR INAPPROPRIATE. THE INFORMATION AND DATA DELIVERED BY OR RECEIVED FROM USERS ON OR THROUGH THE SERVICES IS NOT REVIEWED, CONTROLLED OR EXAMINED BY BIODATA BEFORE IT APPEARS ON THE WEBSITE. BIODATA DOES NOT ENDORSE, VERIFY OR OTHERWISE CERTIFY THE CONTENTS OF ANY SUCH INFORMATION OR DATA. YOU ARE SOLELY RESPONSIBLE FOR THE CONTENTS OF INFORMATION RECEIVED FROM THE SERVICE AND MAY BE HELD LEGALLY LIABLE OR ACCOUNTABLE FOR THE USE OR MISUSE THEREOF (INCLUDING, WITHOUT LIMITATION, INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS).

15. Disclaimer

15.1 EXCEPT AS EXPRESSLY PROVIDED HEREIN, NEITHER PARTY MAKES ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, AND EACH PARTY SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
15.2 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN IMPLIED WARRANTIES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, BIODATA'S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

16. Mutual Indemnification

16.1 Indemnification by BioData. We shall defend You against any claim, demand, suit, or proceeding ("Claim") made or brought against You by a third party alleging that the use of the Service as permitted hereunder infringes or misappropriates the intellectual property rights of a third party, and shall indemnify You for any damages finally awarded against, and for reasonable attorney’s fees incurred by, You in connection with any such Claim; provided, that You (a) promptly give BioData written notice of the Claim; (b) give BioData sole control of the defense and settlement of the Claim (provided that BioData may not settle any Claim unless the settlement unconditionally releases You of all liability); and (c) provide BioData all reasonable assistance, at BioData expense.
16.2 Indemnification by You. You shall defend BioData against any Claim made or brought against Us by a third party alleging that Your Submission, or Your Data or Your use of the Service in violation of this Agreement, infringes or misappropriates the intellectual property rights of a third party or violates applicable law, and shall indemnify BioData for any damages finally awarded against, and for reasonable attorney’s fees incurred by, BioData in connection with any such Claim; provided, that BioData (a) promptly give You written notice of the Claim; (b) give You sole control of the defense and settlement of the Claim (provided that You may not settle any Claim unless the settlement unconditionally release BioData of all liability); and (c) provide You all reasonable assistance, at Your expense.
16.3 Exclusive Remedy. This Section (Mutual Indemnification) states the indemnifying party’s sole liability to, and the indemnified party’s exclusive remedy against, the other party for any type of Claim described in this Section.

17. Limitation of Liability

17.1 YOU EXPRESSLY UNDERSTAND AND AGREE THAT BIODATA OR ANY OF ITS AFFILIATES, DIRECTORS, OFFICERS OR EMPLOYEES, SHALL NOT BE RESPONSIBLE OR LIABLE TO ANY USER OF THE SERVICE OR OTHER PARTY AFFECTED BY THE SERVICE, FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION, ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, GOODWILL, USE, PROGRAMS, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF BIODATA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE), RESULTING FROM: (I) THE USE OR THE INABILITY TO USE THE SERVICE; (II) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (III) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS, SUBMISSIONS OR DATA; (IV) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; (V) RELIANCE ON ANY OF THE MATERIALS; OR (VI) ANY ERRORS, INACCURACIES, OMISSIONS, DEFECTS, SECURITY BREACHES; OR (VII) ANY TRANSACTION CONDUCTED THROUGH OR FACILITATED BY THE SERVICE; OR (V) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS, SUBMISSIONS OR DATA; OR (VI) ANY OTHER FAILURE TO PERFORM BY BIODATA OR ANY OTHER MATTER RELATING TO THE SERVICE.
17.2 IF YOU ARE DISSATISFIED WITH THE SERVICE, THE MATERIALS, OR WITH THE TERMS OF THIS AGREEMENT, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SERVICE. AS SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, THE ABOVE EXCLUSIONS OF INCIDENTAL AND CONSEQUENTIAL DAMAGES MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, BIODATA'S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
17.3 YOU FURTHER AGREE THAT BIODATA IS NOT RESPONSIBLE, AND SHALL HAVE NO LIABILITY TO YOU, FOR ANY MATERIAL POSTED BY OTHERS, INCLUDING DEFAMATORY, OFFENSIVE, OR ILLICIT MATERIAL, AND THAT THE RISK OF DAMAGE FROM SUCH MATERIAL RESTS ENTIRELY WITH YOU. FURTHERMORE, BIODATA IS NOT RESPONSIBLE FOR CLAIMS ARISING FROM YOUR USE OF THE SERVICE OR YOUR BREACH OF THIS AGREEMENT, INCLUDING, WITHOUT LIMITATION, CLAIMS OF COPYRIGHT INFRINGEMENT, PATENT INFRINGEMENT, MISAPPROPRIATION OF TRADE SECRETS, LIBEL, SLANDER, TRADE LIBEL, DEFAMATION, HARASSMENT AND INVASION OF PRIVACY OR FRAUD.

18. Third Party Vendors

The User may order or use service or merchandise through the Website from third parties not affiliated with BioData (''Third Party Vendors''). All matters concerning such services and merchandise desired from Third Party Vendors, including but not limited to purchase terms, payment terms, warranties, guarantees, license terms, maintenance and delivery, are solely between the Third Party Vendors and the User and should be directed to such particular Third Party Vendor. BioData makes no warranties or representations whatsoever with regard to any such services or merchandise provided by Third Party Vendors. The User will not consider BioData, nor will BioData be construed, as a party to, or a third party beneficiary of, such transactions, whether or not BioData may have received revenue or other remuneration in connection with the transaction. BioData will not be liable to the User for any costs or damages incurred by the User or any other person with respect to or arising out of transactions with Third Party Vendors.

19. Links

BioData is not responsible for the content on the Internet or World Wide Web pages that are contained outside the Website. As a convenience to our members, BioData provides links to many resources. BioData makes no representations as to the quality, suitability, functionality or legality of any websites to which BioData may provide links, and the User hereby waives any claim the User may have against BioData with respect to such websites. Unless you have a written agreement or a specific consent in effect with BioData which states otherwise, links to the Website may be provided only in the following manner: (a) links must not suggest or otherwise create the false appearance that BioData is affiliated with any person or entity, or that BioData otherwise endorses, sponsors or affiliated with any product or service; (b) the appearance, position and other aspects of any link to the Website may not be such as to damage or dilute the goodwill associated with BioData’s name and Trademarks; (c) all links to the Website must "point" to the URL "www.biodata.com" and/or www.labguru.com and not to other pages within the Website; (d) all links to the Website, when activated by a user, must not display the Website within a "frame" on the linking website, or any other website.
Without limiting any of the above, BioData reserves the right to revoke its consent to any link to the Website, at any time in its sole discretion.

20. General Conditions

20.1 You understand that BioData uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.
20.2 BioData may, but have no obligation to, remove Content and Accounts containing content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or this Agreement.
20.2 You understand that the technical processing and transmission of the Service, including Your Data, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
20.2 If your bandwidth usage exceeds 500 MB/month, or significantly exceeds the average bandwidth usage (as determined solely by BioData) of other Service customers, we reserve the right to immediately disable Your Account or throttle your file hosting until you can reduce your bandwidth consumption.
20.2 The failure of BioData to exercise or enforce any right or provision of the Agreement shall not constitute a waiver of such right or provision. The Agreement constitutes the entire agreement between You and BioData and govern your use of the Service, superseding any prior agreements or any prior or subsequent purchase order(s) between you and BioData (including, but not limited to, any prior versions of the Agreement).
20.2 This Agreement shall be governed by and construed in accordance with the laws of England, without regard to any conflict of laws principles. Any legal action, suit or proceeding arising out of or relating to this Agreement shall be instituted in a court of competent subject matter jurisdiction in London, England, and You and BioData each submit to the personal jurisdiction of such court and waive any right each might otherwise have to claim lack of personal jurisdiction or inconvenience of forum.
20.2 The relationship between BioData and You under this Agreement is that of independent contractors. For clarification purposes, the parties are not joint ventures, partners, principal and agent, or employer and employee. Neither party shall have the power to bind or obligate the other in any manner.
20.2 BioData shall have the right, in its sole discretion, to assign any or all of its rights or obligations under this Agreement. You shall have no right to assign any of your rights or obligations under this Agreement. This Agreement shall be inure to the benefit of, and be binding upon, BioData and its respective successors and assigns.

Intellectual Property Infringement Policy

BioData is committed to protecting the rights of copyright right holders and seeks to comply with all applicable laws and regulations regarding the protection of intellectual property. Notices related to intellectual property related violations on this Service should be either submitted using the ‘Report this Comment’ facility or addressed to our copyright agent at the following address:

(v) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent or the law; and
(vi) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner of any exclusive right that is allegedly infringed.
BioData will process any notices of alleged copyright infringement and will take appropriate actions required under applicable laws. Upon receipt of appropriate notices, BioData will act expeditiously to remove or disable access to any material claimed to be infringing or claimed to be the subject of infringing activity and will act expeditiously to remove or disable access to any reference or link to material or activity that is claimed to be infringing.
